Ophir Holdings & Ventures LTD (“Ophir”), a wholly owned partner of Ophir Energy plc, and OneLNGSM, a joint venture between auxiliaries of Golar LNG Limited and Schlumberger, declare that they have signed a binding Shareholders’ Agreement to establish a Joint Operating Company (“JOC”) to develop the Fortuna project, in Block R, offshore Equatorial Guinea utilising Golar’s FLNG technology.

OneLNG and Ophir will have 66.2% and 33.8% ownership of the JOC respectively (with economic entitlements materially consistent with the equity interest in the JOC1). The JOC will facilitate the financing, construction, development and operation of the integrated Fortuna project and, from Final Investment Decision (“FID”), will own Ophir’s share of the Block R licence and the Gandria FLNG vessel. This innovative structure aligns investment across the value chain and provides a framework to promptly deliver a fully financed project.

Commscope Holding Company Inc (NASDAQ:COMM), jumped 1.34% and closed at $34.11 in the last trading session. The last trading range of the stock ranges between $33.92 and $34.92. The company’s Market capitalization is $6.54 Billion with the total Outstanding Shares of 192.93 million. CommScope Holding Company, Inc. (COMM) has declared the sale of 19,716,970 shares of its common stock on an underwritten basis by an associate of The Carlyle Group. CommScope will not receive any of the proceeds from the offering of shares by Carlyle. Closing of the offering is expected to occur on or about November 16, 2016, subject to customary closing conditions.
